Loan agreements (pólizas)
A póliza intervenida por notario (loan agreement witnessed by a notary) is the document that formalises commercial loans, credit facilities and financing lines. It makes the document enforceable, allowing the creditor to take legal action more quickly in the event of non-payment.
Documents required
Identification of the parties
DNI/NIE of the parties. If they are companies: NIF, powers of representation and a nota simple (register extract) from the Registro Mercantil (Companies Register).
Loan terms
Principal amount, interest rate, repayment term, repayment method, fees and other financial terms.
Guarantees (if any)
Documents for the guarantors or sureties, and a description of any security interests being created (pledge, chattel mortgage, etc.).
Powers of representation
If any of the parties is acting on behalf of another, a notarial power of attorney authorising this type of act.
