Dissolution and liquidation
Dissolution opens the company's liquidation process, which ends with the distribution of the remaining company assets among the shareholders and the cancellation of the registry entries. It requires a public deed of dissolution, the appointment of liquidators, and a deed of extinction.
Documents required
Certificate of the dissolution resolution
Certificate of the minutes of the general meeting that resolved on the dissolution and, where applicable, the appointment of liquidators.
Final liquidation balance sheet
Balance sheet approved by the general meeting showing the company's financial position after liquidation.
Plan for distributing the remaining company assets
Document setting out how the remaining assets will be distributed among the shareholders.
Identification of liquidators and shareholders
DNI/NIE of the liquidators and of the shareholders who will receive a liquidation share.
