Share capital increases and reductions
Changing a company's share capital requires a public deed and registration in the Registro Mercantil (Companies Register). A capital increase can be made through cash contributions, non-cash contributions, conversion of debt into capital or capitalisation of reserves. A reduction can serve various purposes, such as returning contributions or offsetting losses.
Documents required
Current deed of incorporation
Copy of the company's founding deed and current articles of association.
Certificate of the general meeting resolution
Certificate of the minutes of the general meeting that approved the capital increase or reduction.
Proof of the contribution (if applicable)
Bank certificate of the deposit, or an expert's report for non-cash contributions.
Identification of the signatory
DNI/NIE of the director or person authorised to formalise the resolution in a public deed.
